Welcome to TeamBios (the "Website" or "Platform"), owned and operated by Biosoft Sports, a sole proprietorship based in California, United States (referred to as "we," "us," "our," or "Biosoft Sports"). These Terms and Conditions ("Terms") govern your access to and use of the Website, including all content, features, services, and products provided through the Website (collectively, the "Services"). The Services include, but are not limited to, providing final picks for the NFL season on a week-by-week basis, generated through our proprietary algorithms and code, which have historically demonstrated an accuracy rate of approximately 80-93% win ratio based on past performance.

By accessing, browsing, registering for, or using the Website or Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy (incorporated herein by reference and available at [insert Privacy Policy URL]). If you do not agree to these Terms, you must immediately cease all access to and use of the Website and Services and are prohibited from doing so.

We reserve the right to modify, amend, or update these Terms at any time, in our sole discretion. Any changes will be effective immediately upon posting the revised Terms on the Website, and we will update the "Effective Date" at the top of this document. Your continued use of the Website or Services after such changes constitutes your irrevocable acceptance of the revised Terms. It is your sole responsibility to review these Terms periodically for updates. If you do not agree to any changes, you must stop using the Website and Services immediately.

1. Eligibility and Representations

To access or use the Website or Services, you must:

Be at least 18 years of age or the legal age of majority in your jurisdiction (whichever is greater);

2. Account Registration and Security

To access certain features of the Services, such as receiving NFL picks, you must create an account ("Account"). During registration, you agree to provide accurate, current, and complete information and to promptly update such information to keep it accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your Account credentials, including your username and password, and for all activities, charges, and liabilities that occur under your Account, whether or not authorized by you.

We are not liable for any loss or damage arising from your failure to comply with these security obligations. We reserve the right to refuse registration, suspend, or terminate your Account at any time, without notice or liability, for any reason, including but not limited to suspected violation of these Terms, fraudulent activity, or security concerns.

You may not create multiple Accounts or transfer your Account to another party without our prior written consent. Any attempt to do so will result in immediate termination of all related Accounts.

3. Subscriptions and Payments

The Services may require a paid subscription ("Subscription") to access NFL picks or other premium features. Subscription details, including fees, billing cycles, and features, will be provided during the signup process or on the Website.

Payment Authorization: By providing payment information, you authorize us (or our third-party payment processor) to charge the applicable fees to your designated payment method on a recurring basis (e.g., monthly or annually) until you cancel. You represent and warrant that you are authorized to use the payment method provided.
Billing and Renewal: Subscriptions automatically renew at the end of each billing period unless canceled. We may adjust fees upon notice (e.g., via email or Website posting), and continued use after such notice constitutes acceptance of the new fees.
Cancellation and Refunds: You may cancel your Subscription at any time through your Account settings or by contacting us at [insert contact email]. Cancellations are effective at the end of the current billing period. No refunds or credits will be provided for partial periods, unused Services, or any other reason, except as required by applicable law. We reserve the right to terminate or suspend Subscriptions for non-payment or violation of these Terms.

4. Intellectual Property Rights

All content, materials, and elements of the Website and Services, including but not limited to text, graphics, logos, icons, images, audio, video, data, software, algorithms, code, NFL picks, predictions, compilations, and any other proprietary information (collectively, "Content"), are the exclusive property of Biosoft Sports or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The NFL picks and predictions are generated using our proprietary algorithms and code, which constitute confidential trade secrets developed through substantial investment of time, effort, and resources by Biosoft Sports. You acknowledge that these algorithms, code, and related processes are not publicly available and are protected as intellectual property.

Subject to your full compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Website and Services solely for your personal, non-commercial use. This license does not include any right to:

Resell, redistribute, sublicense, or commercially exploit the Content or Services;
Modify, adapt, translate, reverse engineer, decompile, disassemble, or derive the source code or underlying ideas of any Content, algorithms, or Services;
Create derivative works based on the Content;
Use the Content in any public performance, display, or transmission;
Remove, alter, or obscure any copyright, trademark, or proprietary notices.

All rights not expressly granted herein are reserved by Biosoft Sports. Unauthorized use of the Content may violate intellectual property laws and result in civil and criminal penalties.

5. Permitted Use and Prohibitions

The Website and Services are provided exclusively for your personal, non-commercial use, such as individual informational or entertainment purposes (e.g., personal analysis or betting in compliance with applicable laws). You agree not to use the Website or Services for any other purpose.

Prohibited activities include, but are not limited to:

Copying, reproducing, distributing, transmitting, displaying, performing, publishing, selling, reselling, renting, leasing, licensing, sublicensing, or otherwise exploiting any Content (including NFL picks or predictions) without our prior written consent;
Using the Content or Services for commercial purposes, such as reselling picks, providing advisory or consulting services, incorporating into third-party products or platforms, or operating a betting syndicate;
Sharing, disclosing, or redistributing the Content with any third party, whether for free, for profit, or in any other manner (e.g., via social media, forums, emails, or other channels);
Using automated tools, scripts, bots, spiders, crawlers, or similar technologies to access, scrape, extract, or monitor the Website or Services;
Interfering with or disrupting the Website, Services, or servers/networks connected thereto;
Impersonating any person or entity, or misrepresenting your affiliation with any person or entity;
Transmitting viruses, malware, or any harmful code;
Collecting or storing personal data of other users without consent;
Violating any applicable laws, including gambling laws, anti-money laundering regulations, or intellectual property laws;
Engaging in any activity that could harm our reputation, business, or intellectual property.

We may monitor your use of the Services (including through automated means) to ensure compliance. If we discover or reasonably suspect any violation (e.g., unusual access patterns, user reports, or data analysis indicating redistribution), we will immediately terminate your access without notice or refund and pursue all available remedies under California law, including but not limited to:

Seeking monetary damages for lost profits, statutory damages under copyright/trade secret laws, and punitive damages where applicable;
Obtaining injunctive relief to prevent further violations;
Recovering attorney's fees, court costs, and other expenses.

You acknowledge that violations may cause irreparable harm to Biosoft Sports, for which monetary damages alone may be insufficient, entitling us to equitable relief without posting bond.

6. User Content and Conduct

If the Services allow you to submit content (e.g., comments or feedback; "User Content"), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, distribute, and display such User Content in connection with the Services. You represent that your User Content does not infringe third-party rights and complies with these Terms.

You agree not to submit User Content that is unlawful, harmful, abusive, obscene, defamatory, or invasive of privacy. We may remove or block any User Content at our discretion without liability.

THE WEBSITE, SERVICES, AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPLETENESS, TIMELINESS, OR AVAILABILITY.

While our proprietary algorithms have historically achieved an 80-93% win ratio based on past NFL seasons, PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS. We do not guarantee the accuracy, reliability, or success of any picks, predictions, or Content. Sports outcomes are inherently unpredictable and influenced by factors beyond our control. You use the Services at your own risk and discretion.

The Services are for informational and entertainment purposes only and do not constitute professional, financial, investment, or gambling advice. We are not responsible for any decisions you make based on the Services, including betting outcomes or financial losses. You are solely responsible for complying with all applicable gambling laws in your jurisdiction. We do not endorse or facilitate illegal gambling.

We disclaim liability for any interruptions, errors, viruses, or third-party links/content. Third-party sites linked from the Website are not under our control, and we are not responsible for their content or practices.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIOSOFT SPORTS, ITS OWNER, AFFILIATES, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY, OR OTHER DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING FROM OR RELATED TO YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE WEBSITE, SERVICES, OR CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations, so the above may not apply to you, but liability will be limited to the fullest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Biosoft Sports, its owner, affiliates, employees, agents, licensors, and service providers from and against all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees and court costs) arising from or related to: (a) Your access to or use of the Website, Services, or Content; (b) Your violation of these Terms or any applicable law; (c) Your violation of any third-party rights, including intellectual property, privacy, or publicity rights; (d) Any User Content you submit, post, or transmit; (e) Any unauthorized redistribution, resale, or commercial exploitation of the Content.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate fully and at your expense.

10. Governing Law and Dispute Resolution

These Terms and any disputes arising hereunder shall be governed exclusively by the laws of the State of California, without regard to its conflict of laws principles. You irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California, for any action arising out of or related to these Terms or the Services. You waive any objections to such jurisdiction or venue, including forum non conveniens.

Any claim or cause of action arising under these Terms must be filed within one (1) year after it accrues, or it is forever barred.

11. Termination

We may terminate or suspend your Account, Subscription, and access to the Services at any time, without notice or liability, for any reason, including but not limited to breach of these Terms, non-payment, or suspected fraudulent activity. Upon termination, your license to use the Services ends immediately, and you must cease all use of the Content. Sections that by their nature survive termination (e.g., IP rights, disclaimers, limitations of liability, indemnification, governing law) shall continue in effect.

12. Miscellaneous

Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force.
No Waiver: Our failure to enforce any right or provision shall not constitute a waiver of future enforcement.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Services, superseding all prior agreements.
Assignment: We may assign these Terms without your consent. You may not assign them without our prior written consent.
Force Majeure: We are not liable for delays or failures caused by events beyond our control (e.g., natural disasters, wars, pandemics).
No Third-Party Beneficiaries: These Terms do not create rights enforceable by third parties.
